The board of directors of Ferrovial SE is comprised of the same members as the board of directors of Ferrovial, S.A. immediately prior to the merger effective time.<\/em><\/strong><\/em><\/h3>\n\n\n\n<p>The Board of Directors (the \u201cBoard\u201d) is Ferrovial\u2019s primary decision-making body, except for matters reserved for the Shareholders Meeting.<\/p>\n\n\n\n<p>The Board is responsible for managing the Company. The Board determines the Company\u2019s strategy for creating sustainable long-term value creation, enhance its performance, and identifies, analyzes and manages the risks associated with its strategy and activities. The Board considers the impact that Ferrovial has on people and the environment, and to that end, weighs the stakeholder interests that are relevant in this context.&nbsp;<\/p>\n\n\n\n<p>The <a href=\"https:\/\/static.ferrovial.com\/wp-content\/uploads\/2026\/01\/08125342\/20251218-ferrovial-board-rules.pdf\" target=\"_blank\" rel=\"noreferrer noopener\">Board Rules<\/a> sets out the regulations that govern the Board\u2019s organization, decision making processes, duties, and other internal matters.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Ferrovial\u2019s Corporate Governance<\/strong><\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Ferrovial has a one-tier board structure consisting of executive and non-executive directors, who together constitute the Board.<\/li>\n\n\n\n<li>The&nbsp;<strong>Board <\/strong>currently consists of eleven members, of whom two are Executive Directors and nine are Non-Executive Directors. One of the Directors, who qualifies as independent, serves as&nbsp;<strong>Lead Director<\/strong>, who, among other duties, gives voice to any concerns of the Non-Executive Directors. Directors are appointed or reappointed for terms up to three years, which allows shareholders to provide frequent feedback on Directors\u2019 performance.<\/li>\n\n\n\n<li>From among its members, the Board has constituted an Executive Committee, an Audit and Control Committee and a Nomination and Remuneration Committee.\n<ul class=\"wp-block-list\">\n<li>Pursuant to the Board Rules, the <strong>Executive Committee<\/strong> is authorized to adopt any resolution that the Board may adopt, subject to the restrictions set out by applicable law, the Articles of Association and the Board Rules.<\/li>\n\n\n\n<li>The <strong>Audit and Control Committee&nbsp;<\/strong>and the<strong>&nbsp;Nomination and Remuneration Committee&nbsp;<\/strong>have a preparatory and advisory role to the Board.They consist of&nbsp;<strong>Non-Executive Independent Directors<\/strong>&nbsp;according to independence requirements of Nasdaq and SEC Rules and Dutch Corporate Governance Code.<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li>Ferrovial regularly reviews the Dutch, US, Spanish and other international <strong>best practices and&nbsp;<\/strong><a href=\"https:\/\/www.ferrovial.com\/en-gb\/sustainability\/governance\/\"><strong>corporate governance<\/strong><\/a><strong>&nbsp;standards<\/strong>.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Chairman<\/strong><\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Rafael del Pino<\/strong><\/h3>\n\n\n\n<p><strong>Executive Director<\/strong><\/p>\n\n\n\n<p>Civil Engineer (Polytechnic University of Madrid, 1981); MBA (Sloan School of Management, MIT, 1986).<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Executive Chairman of Ferrovial SE since 2023 (and of Ferrovial, S.A. since 2000) and CEO from 1992 until 2000.
