Composition of the board of directors.

Pursuant to the Consolidated Text of the Spanish Securities Market Act (Texto Refundido de la Ley del Mercado de Valores), FERROVIAL, S.A. (the “Company” or “FERROVIAL”) communicates the following:

The Board of Directors of the Company, at its meeting held today, has unanimously agreed, after the proposal of the Nomination and Remunerations Committee, to appoint by co-optation Mr. Philip Bowman as an Independent Director, to fill the vacancy arising on April, 14 2016 notified on the same day as a significant event (registry no. 237.392).

Philip Bowman, an Australian national, holds a Master of Arts in Natural Sciences from the University of Cambridge and is a Fellow of the Institute of Chartered Accountants in England & Wales. He has been CEO of Smiths Group, Scottish Power and Allied Domecq. He is currently the Chairman of Miller Group and Senior Independent Director of Burberry Group.
