In compliance with what is set out in article 82 of the Law on the Stock Market, GRUPO FERROVIAL, S.A. hereby notifies the following:

SYSTEMOF PAYMENT FOR DIRECTORS

GRUPO FERROVIAL, S.A. plans to formalize and bring into effect during the month of June 2000 the system of payment for directors linked to the value of the companys shares. The Ordinary General Shareholders Meeting held on 31 March 2000 was informed of this by means of the significant event communiqué number 21415.
