Buy-back programmes, stabilisation and treasury stock

Pursuant to article 227 of the Consolidated Text of the Spanish Securities Market Act (Texto Refundido de la Ley del Mercado de Valores), FERROVIAL, S.A. (the “Company” or “Ferrovial”), reports on the following:

OTHER RELEVANT INFORMATION

Reference is made to the notification of other relevant information dated 24 February 2022 (registry number 14,373) regarding the own shares buy-back programme to reduce the share capital of Ferrovial, approved by the Board of Directors of the Company (the “Programme” or the “Buy-back Programme“).

Pursuant to articles 2.2 and 2.3 of Commission Delegated Regulation (EU) 2016/1052, of 8 March 2016, supplementing Regulation (EU) No 596/2014 of the European Parliament and of the Council with regard to regulatory technical standards for the conditions applicable to buy-back programmes and stabilisation measures, it is reported that between 1 and 5 December 2022 the Company has carried out the following transactions over its own shares under the Programme.

Detailed information of the transactions carried out within the referred period is attached as annex.

It is also reported that today, 5 December 2022, the term of the Programme has elapsed and therefore, the Programme has ended. Under the Program, the Company has acquired a total of 15,743,329 own shares representing 2.10% of Ferrovial’s current share capital.

The acquisition of own shares under the Programme has been periodically disclosed to the market, pursuant to article 2.2 of the Delegated Regulation (EU) Nº 2016/1052 and has been carried out in accordance with the terms and conditions set out in said Regulation.

In the next few days and, in any event, within a maximum period of one month from the end of the Buy-back Programme (i.e., no later than 5 January 2023), the share capital reduction approved by the General Shareholders’ Meeting of Ferrovial held on 7 April 2022 under item seventh of its agenda will be executed. The share capital reduction will imply the redemption of: (i) 6,500,783 own shares existing in treasury stock on the date on which the Board of Directors approved the proposed resolution to the General Shareholders’ Meeting to reduce the share capital; and (ii) 15,743,329 own shares acquired under the Programme.

Accordingly, a total of 22,244,112 own shares, representing 2.97% of the Company’s current share capital, will be redeemed.
