IN-HOUSE COUNSEL, FERROVIAL ENERGY US
The Position:
For our new Energy business unit, we are looking for an In-House Counsel with strong transactional experience in project development and finance to join Ferrovial Energy’s Legal Department, reporting to the Head of Legal U.S. This role will provide comprehensive legal support for the investment, financing and development, construction, financing, operation, and maintenance of utility-scale renewable energy projects in the U.S.,
The position will be based in Austin, Texas.
Main Duties and Responsibilities:
- Provide end-to-end legal support throughout the lifecycle of projects, from greenfield development and procurement through construction, financial close, and operations.
- Transactional and Commercial Support
- Advise on and participate in M&A transactions, including due diligence processes, and negotiation of purchase and sale agreements for ready-to-build or early-stage projects.
- Draft and negotiate a wide range of renewable energy project contracts, (such as Power Purchase, EPC, O&M, Asset Management, Supply and Interconnection Agreements), as well as site control and real estate agreements..
- Project Finance
- Draft and negotiate project financing documents, including credit agreements for construction-to-term loans, tax equity and tax credit transfer bridge loans, letter of credit facilities, and security documents (e.g., security agreements, pledge agreements, account control agreements, direct agreements, etc.). Collaborate with lenders and their advisors on bankability analyses and project due diligence.
- Tax Equity/Tax Credit Transfers
- Draft and negotiate agreements for tax credit monetization structures, including Equity Capital Contribution Agreements, LLC Agreements, and Purchase and Sale Agreements for traditional tax equity partnership flip structures, as well as Tax Credit Transfer Agreements. Maintain familiarity with IRS guidance and tax regulations regarding renewable energy tax credits.
- Ongoing Legal Support
- Provide legal support day-to-day asset portfolio management, including amendments, waivers, consents, and project-level corporate matters.
- Handle corporate housekeeping and filing mattersrequirements for project companies.
- Ensure compliance with regulatory matters and Ferrovial’s internal policies and procedures.
- Manage relationship with external legal advisers.
Education and required experience:
- Juris Doctorate.
- Member in good standing of a US State Bar.
- Minimum 5+ years of transactional experience in related to the renewable or conventional energy industryprojects, gained at a top tier law firm and/or legal department of an renewable energy infrastructure investor or sponsorcompany or independent power producer.
The ideal candidate will also have experience in:
- Real estate and insurance matters in connection with the development of greenfield projects; and/or
- Permitting, interconnection, trade law, energy law and energy-related tax incentives.
Professional Qualities:

- Ability to interact with colleagues in a team.
- Excellent interpersonal written and verbal communication, decision-making, project management and negotiating skills.

Job Description:
ABOUT THE ROLE
We are looking for a Senior Legal Counsel, located in Sydney, with significant experience in PPP transactions and the Australian renewable energy sector. The role will operate from a sponsor/equity perspective, providing legal support in relation to transmission line projects by advising on structuring and partnering arrangements, bid processes, and project financing. The position will also involve advising on development activities and M&A transactions related to generation and storage projects.
The candidate will join Ferrovial Energy’s Legal Department in Australia, reporting to the Head of Legal – International.
KEY RESPONSIBILITIES
– Comprehensive legal support throughout the lifecycle of projects from early stages of development through construction and into operations, including drafting and negotiating and/or giving advice on a variety of energy project-related contracts, such as:

Consortium agreements, MOU with SPV members, Joint Venture or Shareholders Agreements between such members; indemnities, PCGs and any bid documentation, reviewed and advised on from an equity perspective.

PPP Project documentation (including the Project Deed, Desing and Construct contracts, Maintenance contracts, interface agreements and other legal/commercial documents)-M&A transactions- NDA, NBO, BO, SPA, and related transactional documentation.

Development-stage contracts including Connection Agreements, subcontractor and supplier contracts, operation and maintenance agreements, PPAs, leases, development approvals, and related contracts to place generation projects into commercial operations.
– Provide legal support to the business team for the day-to-day management of our pipeline and portfolio and report regularly to Head of Legal- International, based in Madrid.
– Legal advice on applicable legislative and regulatory frameworks including ring-fencing aspects, as well as ensuring compliance with internal policies.
– The production of legal analysis report focusing on the description of the project and key risks, as well as assessment of any legal report prepared by external legal advisor, as part of internal approval process in Ferrovial.
– Management of claims and disputes.
– General corporate housekeeping, such as preparing simple resolutions, filings, etc.
– Manage relationships with external advisers.
QUALIFICATIONS
Education and Required Experience:

LLB /Juris Doctorate.

NSW Practicing certificate in good standing.

7- 10+ years of experience in PPP, the renewable and/or conventional energy industry in a top tier law firm and/or in the legal department of a leading renewable energy company, infrastructure developer, financial advisor or asset manager with experience in large, complex infrastructure projects.
